Where we are today?

There is a lot of work ahead of us to successfully integrate the two organizations. Much of this work will start after we receive regulatory approval from the Federal Trade Commission (FTC) and the transaction closes. We have not yet received this approval and estimate that it may be received in mid to late November, but could take longer. During this time, and until the transaction closes, it will continue to be business as usual with AMR and Rural/Metro operating as separate companies – including being competitors. As competitors, we are limited in what information can be shared.

We have established a team to assess the information available on both sides, define the future operating model, answer key questions and prepare for a smooth integration. We are early in the planning process so there are many key questions which still need to be addressed including, but not limited to:

  • When will we operate as one organization?
  • What brand will we operate under in each market?
  • What will the new organizational structure look like?
  • Can employees transfer around the U.S. once we become one company?

Who is working on the integration team?

We have established an Integration Management Office (IMO), led by Tricia Frachetti, which will coordinate all integration planning activity. The IMO is supported by eight functional integration teams representing both AMR and Rural/Metro. I have listed the AMR representatives below:

Additionally, AMR has selected PricewaterhouseCoopers LLP (PwC) as our partner to assist us through this complex integration. PwC has extensive knowledge of the national and regional markets that AMR and Rural/Metro serve and has successfully supported projects of similar size and scope.

What can you expect next?

We are committed to being as open as possible so you can expect monthly updates through this newsletter on integration planning activities and key decisions. As we gather and assess more information through the planning process, we will also use this newsletter to highlight examples of how this acquisition expands our service offerings and will make us better in the communities we serve.

Between newsletters, we will also keep you informed of integration milestones, such as FTC approval. As we get closer to the first day of operating as one organization, you can expect more communication to help you prepare and welcome your Rural/Metro colleagues.
